End User License Agreement (EULA)
This End User License Agreement (the "Agreement") is a legally binding agreement between you (the "User") and Team Price Real Estate ("Team Price," "we," "us," or "our"). By accessing, browsing, or using the resources provided on the Team Price website (teamprice.com) (the "Website"), you acknowledge that you have read, understood, and agree to be bound by the terms of this Agreement.
License Grant
Subject to the terms and conditions of this Agreement, Team Price grants you a limited, non-exclusive, non-transferable, revocable license to access and use the resources provided on the Website, solely for the purpose of obtaining information about Team Price's real estate services and for personal, non-commercial use.
Restrictions : You may not:
a. Reproduce, distribute, publicly display, publicly perform, or create derivative works of the resources or any part thereof, without the express written permission of Team Price;
b. Use the resources provided on the Website for any commercial purpose or for the benefit of any third party;
c. Use the resources provided on the Website to provide services to any third party, or in any manner that would compete with Team Price's business;
d. Remove or alter any copyright, trademark, or other proprietary notices contained in the resources;
e. Reverse-engineer, disassemble, or decompile the resources or any part thereof, or attempt to derive the source code or underlying ideas or algorithms of any part of the resources;
f. Use any data mining, robots, or similar data gathering or extraction methods in connection with the resources or the Website.
Intellectual Property Rights
Team Price retains exclusive ownership of all intellectual property rights, including but not limited to copyright, trademark, trade secret rights, and any other proprietary rights, embodied in or related to the resources provided on the Website, including any insights, statistics, and other information generated by the resources (collectively, the "Intellectual Property"). The Intellectual Property is the exclusive property of Team Price Inc. Nothing in this Agreement shall be construed as granting you any ownership rights in or to the Intellectual Property, except for the limited license granted under Section 1.
Termination
Team Price reserves the right, in its sole discretion, to terminate this Agreement and your access to the resources provided on the Website, at any time, without notice, for any reason, including, but not limited to, your violation of any term or condition of this Agreement.
Governing Law and Jurisdiction
This Agreement shall be governed by and construed in accordance with the laws of the State of Texas, without regard to its conflict of law provisions. Any dispute arising under or in connection with this Agreement shall be subject to the exclusive jurisdiction of the courts of the State of Texas.
Limitation of Liability
In no event shall Team Price, its affiliates, or their respective officers, directors, employees, or agents be liable to you or any third party for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or other intangible losses, arising out of or in connection with your use of, or inability to use, the resources provided on the Website, even if Team Price has been advised of the possibility of such damages. To the extent permitted by law, Team Price's aggregate liability under this Agreement shall be limited to the amount, if any, paid by you for accessing the resources on the Website.
Indemnification
You agree to indemnify, defend, and hold harmless Team Price, its affiliates, and their respective officers, directors, employees, and agents from and against any and all claims, liabilities, damages, losses, or expenses, including reasonable attorneys' fees and costs, arising out of or in any way connected with your access to or use of the resources provided on the Website, or your violation of any term or condition of this Agreement.
Waiver and Severability
No waiver by Team Price of any term or condition set forth in this Agreement shall be deemed a further or continuing waiver of such term or condition or a waiver of any other term or condition, and any failure of Team Price to assert a right or provision under this Agreement shall not constitute a waiver of such right or provision.
If any provision of this Agreement is held by a court or other tribunal of competent jurisdiction to be invalid, illegal, or unenforceable for any reason, such provision shall be eliminated or limited to the minimum extent such that the remaining provisions of the Agreement will continue in full force and effect. By using the Website, you agree to be bound by the terms and conditions of this End User License Agreement.
